1. Acceptance of Terms

By accessing the website or engaging the services of Data Republic ("we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our site or services.

2. Agency Services

Data Republic provides B2B architectural consulting, integration, and development services for CRM platforms (HubSpot, Pipedrive, GoHighLevel), websites, and automated messaging endpoints (Chatbots, WhatsApp). Scope, timelines, and deliverables are firmly established in individual Statements of Work (SOWs) prior to project commencement.

3. Client Responsibilities

As a client, you agree to provide timely access to necessary software environments, API keys, and assets required for us to fulfill our contractual obligations. Delays in providing credentials may shift project deployment timelines.

4. Intellectual Property

All custom code, Zapier infrastructure, and automation sequences built by Data Republic remain the intellectual property of Data Republic until all invoices related to the project are paid in full. Upon full payment, the usage licenses and administrative rights are completely transferred to the Client.

5. Limitation of Liability

While we meticulously test our automated workflows, Data Republic is not liable for indirect, incidental, or consequential damages resulting from third-party API outages, unexpected software updates by CRM providers, or mismanaged workflows by client personnel after handover.

6. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Dominican Republic, without regard to its conflict of law provisions.
